2. Acceptance of terms

Access to and use of the alphawebsolutions.it website entails automatic and unconditional acceptance of these Terms and Conditions.

Conditions for use
  • Minimum age of 18 years or parental/guardian authorization
  • Legal capacity to assume contractual obligations
  • Use of the site in compliance with Italian and European law
  • Acceptance of our privacy and cookie policies

In case of disagreement with these terms, we invite you not to use the website and not to request our services.

Prohibited uses
It is expressly prohibited to:

Contractual conditions
  • Quotes are valid for 30 days from the issue date
  • Prices are expressed in Euros, flat-rate regime (without VAT ex art. 1 L. 190/2014)
  • Project modifications may result in price variations
  • Delivery times are indicative and subject to confirmation
  • Payment conditions are defined case by case in the quote
  • VAT does not apply due to flat-rate regime (Law 190/2014)

6. Payments and billing

Flat-Rate Regime

AlphaWeb operates under the Italian flat-rate regime. Therefore, all invoices are issued without VAT pursuant to art. 1, paragraphs 54-89, Law 190/2014.

Payment methods
  • Bank transfer (preferred - no limit)
  • PayPal (up to €5,000 per transaction)
  • Cash (up to €5,000 - Italian Law 2023)
Payment terms
Customized for each project
  • Single payment: Upon delivery (small projects)
  • In 2 installments: 50% upfront + 50% delivery
  • In 3+ installments: For complex projects
  • Long-term projects: Monthly installments
Billing
  • Issuance: Same day or within 24h of payment/delivery
  • SdI submission: Within 10 days from invoice date (by law)
  • Format: Electronic invoice through Interchange System
  • Regime: Flat-rate (without VAT ex art. 1 L. 190/2014)
  • Client delivery: Email + possible portal
Payment deadlines
  • Standard: 30 days from invoice date
  • Bank transfer: Immediate or on due date
  • PayPal: Immediate
  • Cash: Upon delivery
Payment delays

In case of payment delays, interest for late payment as provided by Legislative Decree 231/2002 applies automatically.

AlphaWeb Solutions reserves the right to suspend services in case of non-payment within the established terms.

7. Right of cancellation

Important: Exclusion from right of cancellation

The digital services provided are excluded from the right of cancellation according to art. 59 of the Consumer Code (Legislative Decree 206/2005) once execution has begun with the express consent of the client.

When the exclusion applies
  • After the start of project development
  • Once the first deliverables are delivered
  • After the website goes online
  • For maintenance services already provided
Exceptions

The client may withdraw from the contract only in the following cases:

  • Before work begins: Free cancellation with advance payment refund
  • Serious breach: Failure to comply with agreed specifications
  • Excessive delays: Exceeding agreed timelines by more than 60 days
Quality guarantee

To compensate for the exclusion of cancellation, we guarantee free revisions until achieving full client satisfaction according to the initially agreed specifications.

8. Intellectual property

Important: Depends on service type

Intellectual property varies depending on the purchased service and is clearly specified in the individual contract.

Scenario A: Custom website development
Client ownership

  • ✓ Project-specific databases
  • ✓ Custom code developed ad-hoc
  • ✓ Right to modify and resell the site
AlphaWeb ownership
  • ✓ Development methodologies
  • ✓ Proprietary frameworks and libraries
  • ✓ Technical know-how and reusable solutions
  • ✓ Right to use similar solutions for other clients
Example: If I develop a site for an auto repair shop, the client gets all rights to their site, but I can use the same techniques/structures for other auto repair shops.
Scenario B: CMS subscription/license
Client ownership
  • ✓ Uploaded content (text, photos, videos)
  • ✓ Content database
  • ✓ Specific graphic customizations
  • ✓ Domain name and hosting (if provided)
  • ✓ Right to use platform during subscription
AlphaWeb ownership
  • ✓ CMS and all source code
  • ✓ System features and modules
  • ✓ Database architecture and structure
  • ✓ Updates and improvements
  • ✓ Exclusive right to modify the core
Important: The client CANNOT claim rights to the CMS, copy the code or use it outside the agreed subscription.
Right to reuse expertise

In all cases, AlphaWeb maintains the right to:

  • Use acquired expertise for future projects
  • Reuse methodologies, structures and generic technical solutions
  • Develop similar projects for the client's competitors
  • Include the project in own portfolio (unless confidentiality agreements)

9. Liability limitations

AlphaWeb Solutions liability

AlphaWeb Solutions commits to providing professional services according to industry best practices, however liability is limited in the following cases:

We are not liable for delays or non-performance caused by:

  • Natural events (earthquakes, floods, pandemics)
  • Acts of war, terrorism, civil unrest
  • Internet outages or infrastructure problems
  • Regulatory changes requiring adjustments

Liability is excluded for problems arising from:

  • Hosting service malfunctions
  • Changes to external service APIs (Google, Facebook, etc.)
  • Payment provider issues
  • Third-party service disruptions integrated into the project

The client is responsible for:

  • Timely provision of necessary content and materials
  • Verification of regulatory compliance of their content
  • Regular backups of their data
  • Compliance with software licenses used
  • Timely communication of problems or malfunctions
Damage limitation

Important: As a sole proprietor (natural person), AlphaWeb Solutions is liable with their personal assets for all debts arising from professional activity.

Total liability is however limited to the amount actually paid by the client for the specific service that caused the damage, except in cases of willful misconduct or gross negligence.

10. Dispute resolution

Conciliation attempt

Before initiating any legal proceedings, the parties undertake to attempt an amicable resolution of the dispute through:

  • Direct communication between parties
  • Mediation through qualified organization
  • Industry expert consultation
Competent jurisdiction

For disputes with consumers:
Court of consumer's place of residence

For disputes with businesses:
Court of Bologna exclusively competent

Applicable law

All relationships are governed by Italian law and applicable European Union regulations.

For consumers, the provisions of the Consumer Code (Legislative Decree 206/2005) and subsequent amendments apply.
